Scout Terms of Service
Effective Date: July 2026
Scout exists to do one thing well: connect brands with creators worth working with, and creators with opportunities worth taking.
These Terms of Service ("Terms") explain how Scout works, what you can expect from us, and the rules that apply when you use the Service. By accessing or using Scout, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.
Part One — Using Scout
1. About Scout
Scout ("Scout," "we," "us," or "our") sources and vets creators for brand campaigns, then introduces confirmed creators directly to brands.
We do not process or facilitate payments between brands and creators. Any payment arrangements occur outside of Scout.
Scout is a trade name of Dayli Inc. Throughout these Terms, references to "Scout" mean Dayli Inc.
2. Eligibility & Accounts
Creators
To create a Scout account, you must:
- Be at least 18 years old.
- Maintain a public TikTok and/or Instagram profile with existing short-form content.
- Be approved through Scout's application or referral process.
Scout does not currently offer open registration. All creator applications are reviewed individually.
Brands
Brands access Scout through a signed service agreement with Dayli Inc.
Scout does not currently provide self-service brand accounts or creator search functionality. Our team curates creator matches and only shares creator information after a creator has been confirmed for a specific campaign.
3. Creator Profiles & Matching
Profile Visibility
Creator profiles are visible only to Scout's internal team.
Brands receive access to a creator's profile and contact information only after that creator has been confirmed for a specific campaign.
Creator profiles are never publicly searchable and are not visible to other creators.
Optional Demographic Information
Creators may choose to provide demographic information such as gender identity or location.
This information is used solely for matching purposes and is only shared with brands after a confirmed match.
Campaign Notifications
Scout may notify creators by email when campaigns match their profile.
Creators may unsubscribe from these emails at any time through account settings or the unsubscribe link included in each message.
Matching
Scout combines the reach of an open platform with the curation of an agency.
Campaign eligibility is determined using information such as:
- Location
- Gender (only where genuinely required for authentic representation)
- Content niche
- Creator preferences
Scout does not use ethnicity, age, follower count, or engagement metrics to determine campaign visibility.
Brands may only request gender or location requirements where reasonably necessary for authentic representation and consistent with applicable law.
Part Two — Campaigns & Payments
4. Billing
Scout does not charge brands a platform subscription.
Each engagement is governed by a separate signed service agreement outlining pricing, payment terms, and committed services.
Where applicable:
- Retainers and per-creator fees are invoiced in advance.
- Once a creator satisfies the delivery standard defined in the applicable agreement, the corresponding fee becomes non-refundable.
Invoices are issued directly by Dayli Inc.
Scout does not currently process payments through third-party payment processors or retain full payment card information.
If a payment fails, Scout may retry the charge, suspend services, or both. Any fees imposed by your financial institution remain your responsibility.
5. Campaign Creation
Brands provide campaign requirements—including deliverables, compensation, timelines, and eligibility criteria—through their service agreement.
Scout prepares and publishes the campaign brief presented to creators.
Although Scout reviews submissions for compensation quality and general fit, this review does not constitute verification of a brand's identity, financial standing, or the accuracy of information provided.
6. Scope of Scout's Responsibility
Scout's role is limited to sourcing, vetting, confirming, and introducing creators to brands.
Scout does not:
- Process creator payments
- Produce or review campaign content
- Manage creator-brand relationships after introduction
- Monitor campaign performance
- Guarantee campaign results
Brands remain solely responsible for the accuracy of all campaign information they provide, including compensation, deliverables, timelines, and requirements.
Scout is not responsible for inaccurate, misleading, or fraudulent information supplied by brands, regardless of whether that information appears in a campaign brief.
Creators should independently evaluate every opportunity before accepting a campaign.
Part Three — Community Standards
7. Equal Opportunity
Scout is committed to providing equal access to opportunities.
Discrimination based on gender identity, ethnicity, or any other protected characteristic is prohibited.
For creators, demographic information has no effect on general platform access.
For brands, demographic information may only be used where necessary to support authentic representation within campaign content.

8. Suspension & Termination
Scout may suspend or terminate access to the Service at any time, with or without notice.
Examples include, but are not limited to:
- Violating these Terms
- Misusing the platform
- Providing false information
- Conduct inconsistent with Scout's standards
Scout may also remove creators who no longer meet network quality standards, including creators whose content quality, activity level, or public social presence no longer aligns with the platform.

9. Changes to the Service
Scout is an evolving platform.
We may modify, suspend, discontinue, or replace any feature of the Service at any time, with or without notice.
The Service is provided on an "as is" and "as available" basis.
Part Four — Legal Terms
10. Limitation of Liability
To the fullest extent permitted by law, Scout, Dayli Inc., and their officers, directors, employees, and agents shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:
- Use of the Service;
- Inability to use the Service;
- Actions or content of third parties;
- Unauthorized access to user content or communications.
Scout's aggregate liability for all claims shall not exceed the greater of:
- US$100, or
- the total amount you have paid Scout during the twelve months preceding the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless Scout, Dayli Inc., and their officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from:
- your use of the Service;
- your violation of these Terms;
- your infringement of another person's rights; or
- content you submit through Scout.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
13. Changes to These Terms
Scout may update these Terms from time to time.
For material changes, we will provide notice by email or through the Service at least 14 days before the updated Terms become effective.
Continued use of Scout after the effective date constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found unenforceable, that provision will be modified only to the extent necessary to make it enforceable. The remaining provisions will remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Scout regarding the Service.
If a signed service agreement between Scout and a client conflicts with these Terms regarding pricing or scope of services, the signed agreement will control.
